Terms and Conditions – Partner Bakeries

These terms outline the responsibilities of partner bakeries ("you," "your," or "bakery") that fulfill orders through [Your Cake Delivery Service Name] ("we," "us," or "our"). By participating, you agree to the following terms.
1. Relationship and Confidentiality

You operate as an independent contractor. No employment or partnership is created.

You must not disclose your participation or directly communicate with customers. All branding and packaging must be neutral or as specified by us.
2. Order Fulfillment

Orders must be fulfilled accurately and within the agreed-upon timeframe.

Cakes must meet the specifications provided at the time of order (size, flavor, decoration).

You must use high-quality ingredients and follow standard food safety regulations.
3. Delivery Process

Cakes must be packaged securely for transport.

You will coordinate with our designated couriers. Self-delivery is not permitted unless expressly approved.

If an order cannot be fulfilled, you must notify us immediately.
4. Payment and Fees

You will receive payment per completed order, as outlined in your vendor agreement.

Fees for non-compliance (late orders, quality complaints, etc.) may be deducted from payouts.
5. Quality Control

You agree to periodic quality checks and compliance with our service standards.

Consistent complaints may result in removal from our platform.
6. Liability and Indemnification

You are responsible for maintaining all required licenses, health permits, and insurance.

You indemnify us against any claims related to food safety, product liability, or third-party disputes.
7. Termination

We reserve the right to terminate your participation at any time for non-compliance or quality issues.

If you wish to discontinue service, 14 days' written notice is required.
8. Governing Law
These terms are governed by the laws of New York, United States of America. Any disputes shall be resolved through arbitration in Orange County, New York, United States of America.
